These Website Terms of Use (“Terms”) govern access to and use of the Fogsphere website located at https://fogsphere.com and any related marketing or informational pages (the “Site”), operated by Redev AI Ltd trading as Fogsphere (“Fogsphere,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Website Use

The Site is provided for informational and business purposes only. You may use the Site solely for lawful purposes and in accordance with these Terms.

You agree not to:

  • Use the Site in violation of applicable law.
  • Attempt to gain unauthorized access to any systems or networks.
  • Interfere with the operation or security of the Site.
  • Use automated means (e.g., scraping, bots, crawlers) to access the Site without our prior written consent.
  • Use the Site to transmit malicious code.
  • Use the Site or its content to train, fine-tune, develop, benchmark, or validate machine learning or AI models, or to create or enrich datasets (including by scraping or extraction), without our prior written consent.

We reserve the right to restrict or terminate access to the Site for any misuse.

2. Intellectual Property

All content on the Site, including text, graphics, branding, logos, software descriptions, technical documentation excerpts, and other materials, is owned by or licensed to Fogsphere and is protected by intellectual property laws.

No rights are granted to you other than the limited right to view the Site for informational purposes. You may not copy, reproduce, modify, distribute, or create derivative works from Site content without prior written consent.

Fogsphere and the Fogsphere logo are trademarks of Redev AI Ltd. Other marks may be the property of their respective owners. No license to use any trademarks is granted except as expressly stated in these Terms.

3. No Reliance on Marketing Statements

The Site may contain descriptions of Fogsphere products and services. Such descriptions are for informational purposes only and do not constitute a binding offer or contractual commitment.

All software and services are governed exclusively by applicable written agreements, including Fogsphere’s End User License Agreement (EULA), Orders, and related contractual documents.

The Site may contain general information about our products, capabilities, and industry topics. It is provided for informational purposes only and should not be relied upon as legal, security, compliance, or professional advice.

4. Third-Party Links

The Site may contain links to third-party websites. Fogsphere does not control and is not responsible for third-party content, privacy practices, or services.

6. Disclaimer

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOGSPHERE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, secure, or error-free.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOGSPHERE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SITE.

FOGSPHERE’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SITE SHALL NOT EXCEED £100.

8. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date reflects the most recent revision. Continued use of the Site after updates constitutes acceptance of the revised Terms.

9. Governing Law

These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over disputes relating to the Site.

10. Notices

Notices from Fogsphere to you may be provided by posting on the Site or, where appropriate, by email, to the extent permitted by law.

Fogsphere Product License Summary

This Product License Summary describes the general licensing framework applicable to Fogsphere software products and related AI models provided by Redev AI Ltd trading as Fogsphere (“Fogsphere,” “we,” “us,” or “our”).

This Product License Summary is provided for transparency and informational purposes only. Customer use of Fogsphere software is governed exclusively by the applicable written agreement(s) between Fogsphere and the customer, which may include an Order, statement of work, End User License Agreement (EULA) presented at installation or otherwise provided to the customer, and (where applicable) a Data Processing Addendum (DPA) (collectively, the “Customer Agreement”). In the event of any conflict, the Customer Agreement controls.

1. Scope of Software

This Product License Summary applies to Fogsphere’s installable software and related components, which may include (without limitation) Fogsphere Manager®, Fogsphere Edge+®, Fogsphere MistIQ®, Fogsphere Tools®, subscription modules, detection packages, and related AI model components (collectively, the “Software”).

2. License Framework (Summary)

Subject to payment of applicable fees and compliance with the Customer Agreement, customers receive a limited, non-exclusive, non-transferable license during the applicable term to:

  • install and use the object code version of the Software; and
  • permit authorized personnel to access and use the Software

solely for the customer’s internal business purposes and within the scope, term, and usage metrics specified in the applicable Order.

The Software is licensed, not sold.

3. Usage Limits

Customer use of the Software is limited to the capacity, sites, devices, instances, cameras, streams, users, or other usage metrics specified in the applicable Order.

Customers may not:

  • exceed licensed usage limits;
  • circumvent license controls;
  • enable access by unauthorized third parties; or
  • provide the Software as a service to unrelated third parties unless expressly agreed in writing.

4. Restrictions

Except as expressly permitted in the Customer Agreement or by applicable law:

Customers may not:

  • reverse engineer, decompile, disassemble, or attempt to derive source code;
  • modify, adapt, or create derivative works of the Software;
  • remove or obscure proprietary notices;
  • use the Software or associated models to build or support a competing product or AI model;
  • extract, copy, or redistribute Software components outside licensed use; or
  • use the Software in violation of applicable export-control or trade laws.

5. Intellectual Property

Fogsphere and its licensors retain all right, title, and interest in and to:

  • the Software,
  • documentation,
  • AI models and detection modules,
  • related intellectual property,
  • and all improvements, modifications, and derivative works thereof

(collectively, “Fogsphere IP”).

No ownership rights are transferred to customers. All rights not expressly granted are reserved.

6. AI Models and Custom Models

Fogsphere may provide AI models with the Software and may, under a Customer Agreement, develop, configure, train, fine-tune, retrain, calibrate, or otherwise create models (including custom models).

Unless expressly agreed in writing:

  • All models, including custom models, model weights, parameters, architectures, adaptations, derivatives, and improvements, remain the exclusive property of Fogsphere.
  • Customers receive only a limited license to use applicable models within the Software for internal business purposes.
  • Customers receive no right to extract, export, possess, distribute, sublicense, or independently use model weights or parameters outside the Software.

7. Customer Data and Outputs (High-Level)

Customers retain ownership of data processed within their environments (“Customer Data”).

The Software may generate detections, alerts, analytics, logs, reports, labels, or similar outputs (“Outputs”). Customers may use Outputs for internal business purposes, subject to the Customer Agreement.

Outputs do not grant any ownership or intellectual property rights in models or Fogsphere IP.

Where Fogsphere processes customer personal data (e.g., for authorized support), such processing is governed by the applicable DPA and Customer Agreement.

8. Support, Updates, and Service Levels

Any updates, upgrades, technical support, and (if applicable) service level commitments are provided only if and as expressly described in the Customer Agreement and the applicable Order.

Fogsphere has no obligation to provide support or service levels except as agreed in writing.

9. Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE AND MODELS ARE PROVIDED “AS IS.”

FOGSPHERE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • FOGSPHERE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SOFTWARE OR MODELS.
  • FOGSPHERE’S TOTAL LIABILITY, IF ANY, IS LIMITED AS SET FORTH IN THE CUSTOMER AGREEMENT.

11. Governing Law

This Product License Summary is governed by the laws of England and Wales.
